Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sudo127 Technology Sdn Bhd (Company Registration No. 202501016168 (1617582-D)) ("Company," "we," "us," or "our") concerning your access to and use of the Ticketee.io event management platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

These Terms are governed by the laws of Malaysia, and you agree to submit to the exclusive jurisdiction of the Malaysian courts for any disputes arising from these Terms or your use of the Service.

2. Eligibility

To use Ticketee.io, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under Malaysian law or any other applicable jurisdiction
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials

By registering an account, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing your name, email address, and a secure password. You may also create an organization profile to manage events and team members.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up-to-date

We are not liable for any loss or damage arising from your failure to maintain account security. You must not share your account credentials with third parties or allow others to access your account.

3.3 Account Verification

We may require email verification (via OTP) to activate your account. You agree to provide accurate contact information and complete verification processes when requested.

4. Service Description

Ticketee.io provides an event management platform that enables users to:

  • Create and manage events with customizable details
  • Add and organize attendees with unique QR code tickets
  • Send automated email and WhatsApp notifications to attendees
  • Process check-ins via QR code scanning (web-based and mobile)
  • Generate real-time analytics and attendance reports
  • Manage team members with role-based access controls (Owner, Admin, Member)
  • Purchase and manage credits for notification services

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with or without notice. We will use reasonable efforts to notify users of significant changes.

5. Credit-Based Pricing and Payments

5.1 Pricing Model

Ticketee.io operates on a credit-based system with no monthly subscription fees. Current pricing:

  • Email Notifications: RM 0.05 per email
  • WhatsApp Messages: RM 0.45 per message

Pricing is subject to change at our discretion. We will provide at least 30 days' notice of price increases for existing users. New pricing applies to credit purchases made after the effective date.

5.2 Credit Purchase

Credits can be purchased through our platform using the Billplz payment gateway. Accepted payment methods include FPX online banking, credit/debit cards, and e-wallets supported by Billplz.

Early adopters may receive promotional credits or pricing benefits as specified during sign-up.

5.3 Payment Processing

All payments are processed securely by Billplz Sdn Bhd, a licensed payment service provider in Malaysia. By purchasing credits, you agree to Billplz's Terms & Conditions and Privacy Policy.

We do not store complete payment card information on our servers. Payment data is encrypted and handled by Billplz in compliance with PCI DSS standards.

5.4 Credit Usage

Credits are deducted automatically when you:

  • Send email notifications to attendees (RM 0.05 per recipient)
  • Send WhatsApp messages to attendees (RM 0.45 per recipient)
  • Schedule automated campaigns (cost calculated based on recipient count and selected channels)

If you have insufficient credits to complete an operation, the campaign will not be processed. You must maintain adequate credit balance for scheduled campaigns.

5.5 Refunds

Credits are non-refundable except in the following circumstances:

  • Failed Campaigns: If a campaign fails due to a technical error on our part, credits will be automatically refunded to your account
  • Service Errors: If we incorrectly charge your account, we will issue a credit refund within 7 business days
  • Billing Disputes: Disputed charges will be investigated, and refunds issued if errors are confirmed

Refunds for credit purchases (not usage) may be requested within 7 days of purchase if no credits have been used. Contact support@sudo127.com with your transaction details.

5.6 Transaction Records

All credit transactions (purchases, usage, refunds) are recorded in your account with full audit trail including timestamps, amounts, and transaction types. Records are retained for 7 years in compliance with Malaysian tax regulations.

6. User Responsibilities and Prohibited Conduct

6.1 Permitted Use

You may use Ticketee.io only for lawful purposes and in accordance with these Terms. You agree to:

  • Use the Service for legitimate event management purposes
  • Obtain proper consent from attendees before adding their information
  • Comply with Malaysian anti-spam regulations and the Personal Data Protection Act 2010
  • Ensure all event information and communications are accurate and not misleading
  • Respect intellectual property rights of others

6.2 Prohibited Activities

You must NOT:

  • Send unsolicited commercial messages (spam) through our notification system
  • Upload malicious code, viruses, or any harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, harvest, or collect user data without authorization
  • Use the Service to promote illegal activities, violence, or hate speech
  • Impersonate others or misrepresent your affiliation with any entity
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute the Service without our written consent
  • Create fake accounts or manipulate attendance/analytics data
  • Interfere with or disrupt the Service or servers

6.3 Content Standards

All content you upload (event descriptions, images, attendee data) must:

  • Not infringe intellectual property rights of others
  • Not contain illegal, offensive, or harmful material
  • Not violate any applicable laws or regulations
  • Not contain personal data of individuals without their consent

7. Intellectual Property Rights

7.1 Our Rights

The Service, including all software, code, designs, graphics, logos, trademarks, and content (excluding User Content), is owned by Sudo127 Technology Sdn Bhd and protected by Malaysian and international copyright, trademark, and intellectual property laws.

The Ticketee.io name, logo, and all related marks are trademarks of Sudo127 Technology Sdn Bhd. You may not use these marks without our prior written permission.

7.2 User Content

You retain ownership of all content you upload (event details, images, attendee information). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Service.

We do not claim ownership of your content. You are responsible for ensuring you have the necessary rights to upload and use all content on our platform.

7.3 Open Source

Certain components of our Service use open-source software licensed under various open-source licenses. These licenses are available upon request.

8. Data Protection and Privacy

We are committed to protecting your personal data in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia. Our Privacy Policy explains how we collect, use, and protect your information.

When you add attendees to your events, you act as a data controller and are responsible for:

  • Obtaining proper consent from attendees to collect and process their personal data
  • Ensuring compliance with PDPA 2010 and other applicable data protection laws
  • Providing attendees with privacy notices as required by law
  • Handling data subject requests (access, correction, deletion) from your attendees

We act as a data processor for attendee data and will process such data only on your instructions and in accordance with our Privacy Policy.

9. Service Availability and Maintenance

9.1 Uptime

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (announced in advance when possible)
  • Emergency maintenance or security updates
  • Third-party service provider outages (AWS, Billplz, etc.)
  • Force majeure events beyond our reasonable control

9.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will use reasonable efforts to notify users of significant changes that materially impact functionality.

10. Limitation of Liability and Disclaimers

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY MALAYSIAN LAW, SUDO127 TECHNOLOGY SDN BHD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or attendee information
  • Business interruption or event cancellations
  • Costs of procurement of substitute services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR RM 100, WHICHEVER IS GREATER.

10.3 Third-Party Services

We are not responsible for the actions, content, or services of third parties, including but not limited to Billplz (payment processing), AWS (hosting), and telecommunication providers (email/WhatsApp delivery). Your use of third-party services is subject to their respective terms and conditions.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sudo127 Technology Sdn Bhd, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties, including intellectual property rights
  • Your violation of Malaysian laws or regulations
  • Content you upload or transmit through the Service
  • Your failure to comply with PDPA 2010 requirements for attendee data

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@sudo127.com or using the account deletion feature in your settings. Upon termination:

  • Your account will be soft-deleted immediately
  • Your data will be permanently deleted after 90 days
  • Unused credits will be forfeited (non-refundable)
  • Transaction records will be retained for 7 years (legal requirement)

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Service or other users
  • Fail to respond to account verification requests
  • Abuse the Service or harass other users

12.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

13.2 Jurisdiction

You irrevocably agree to submit to the exclusive jurisdiction of the courts of Malaysia for any legal proceedings arising from these Terms or your use of the Service.

13.3 Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at support@sudo127.com to attempt to resolve the dispute informally. We will work in good faith to reach a mutually acceptable resolution within 30 days.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sudo127 Technology Sdn Bhd regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, governmental actions, or failures of third-party service providers.

14.6 Language

These Terms are prepared in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

15. Updates to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send an email notification to your registered email address
  • Display a prominent notice on the platform dashboard
  • Require acceptance of updated Terms before continued use (for material changes)

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
